Terms and Conditions -
The Social Unicorns

1. Acceptance of Terms

By accessing or using the services provided by The Social Unicorns ("we," "us," or "our"), you ("client," "user," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use our services.

2. Services Provided

The Social Unicorns provides digital marketing services, including but not limited to content creation, social media management, website development, digital marketing consultations, and related services. The specific services provided will be detailed in a separate service agreement or proposal.

3. Client Obligations

  • Accuracy of Information: You agree to provide accurate, current, and complete information as required for the provision of our services.   

  • Cooperation: You agree to cooperate with us and provide necessary resources, assets, and feedback in a timely manner.

  • Intellectual Property: You warrant that you have the necessary rights to use any materials provided to us and that such use does not infringe upon the intellectual property rights of any third party.

 

4. Payment Terms

  • Fees: You agree to pay all fees as specified in the service agreement or proposal.

  • Payment Schedule: Payments shall be made according to the agreed-upon schedule.

  • Late Payments: Late payments may incur interest or penalties as specified in the service agreement.

  • Non-Refundable Services: As outlined in our Refund Policy, all services are non-refundable.

 

5. Intellectual Property Rights

  • Client Materials: You retain ownership of all materials provided to us.

  • Our Work Product: Upon full payment, you will own the final deliverables as specified in the service agreement.

  • Usage Rights: We retain the right to use any work product for our portfolio or promotional purposes, unless otherwise agreed in writing.

 

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the service agreement.   

 

 

7. Limitation of Liability

  • Disclaimer: We provide our services "as is" and "as available." We make no warranties, express or implied, regarding the performance or results of our services.

  • Liability Cap: Our liability for any claim arising out of or in connection with these Terms shall be limited to the fees paid by you for the services in question.

  • Indirect Damages: We shall not be liable for any indirect, incidental, consequential, or punitive damages.

 

8. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of your use of our services or your breach of these Terms.   

 

 

9. Termination

  • Termination for Cause: Either party may terminate the service agreement for cause, such as a material breach of these Terms.

  • Termination for Convenience: We may terminate the service agreement with reasonable notice.

  • Effect of Termination: Upon termination, you shall pay for all services rendered up to the termination date.

 

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Noida, India.   

 

 

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.   

 

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, and government actions.   

 

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.   

 

14. Entire Agreement

These Terms, together with any service agreement or proposal, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
